How it Works
Syntiro Advisors helps established, small to mid-sized businesses align their organizations to attract and raise capital. We are discerning to find engagements that are a fit for both Syntiro and its clients.
We work with strong management teams that are focused and help them find the right capital solution(s) to take their business to the next level—hence our focus on “good people and smart capital.” Most of our clients either have or are in pursuit of a sustainable business model. Syntiro works exclusively with companies that are making a positive environmental, climate impact and most offer solutions that are changing the current status quo.
Typical engagements start with assessing the positioning of the company, its unique offering and competitive advantage(s). In parallel the real “lift” begins by evaluating the current business structure to determine its fit and alignment to successfully raise capital. With this known, the story of the business is refined and well-crafted into concise presentation material which clearly articulates the value proposition of the company. The core work, is to evaluate the company’s current financial performance and project with confidence the growth potential, margin and share of market expected to be realized. This informs the capital required and based on valuation work, the structure and size of the capital raise.
After this assessment and preparation work, clients can choose to continue to work with Syntiro or pursue the capital raise on their own. The execution phase of a capital raise is usually a heavy lift and requires a number of internal and external factors to line up for success. It is a combination of detailed planning and the often, non-linear path of identifying interested providers of capital, and importantly facilitating, then building a relationship between the potential investor and the Company.
Work in the capital raise includes:
Preparation
Finalizing financial projections, sources and uses of capital and supporting, historical financials. In addition, the marketing materials, prospectus and investment structure is captured in a detailed term sheet.
Launch
Marketing materials are finalized and the principals of the business and Syntiro go to work reaching out, setting up meetings—and then beginning to prioritize investors.
Invitations to Investors
The data room is made available on an invitation only basis—information on the business, investment structure and related background.
Commitments
Qualified and interested investors make a non-binding commitment of their desire to invest and the amount.
Closing
Legal documents are finalized, executed and date for funding set. Capital flows and is distributed to the Company.
Execution
The real work for the business proceeds with a fresh round of capital and a curated group of investors. The overall process typically takes six months.
